Structured investments provide investors with the opportunity to invest in stockmarkets and other asset classes with pre-defined risk and returns potential. However in addition to any investment risk to capital or returns, through underlying stock market or other asset class links, a key risk borne by investors in structured investments is 'counterparty risk'. Counterparties are the institutions that provide, or issue, the financial instruments that deliver the stated investment returns of structured investments, including any capital protection, growth or income features. The solvency of the counterparty providing the assets for any structured investment product is therefore critical throughout the investment term and professional advisers should always ensure that they and their clients fully understand the role and relevance of counterparties in any structured investment.

Generally, some structured investments carry greater risks in return for higher potential rewards. More sophisticated products are likely to carry higher risks than simple products. Structured investments are designed to be held until maturity, and early encashment may result in a capital loss for a significant period of the investment term, particularly as any internal charges may adversely impact on the encashment value in the early years. There may also be liquidity constraints with structured investments before the stated maturity date. Importantly, structured investments are not the same as deposit accounts where capital is guaranteed and, in the case of instant access accounts, readily available.

Incapital Europe Limited is Authorised and Regulated by the Financial Services Authority and is covered by the Financial Services Compensation Scheme. However, Professional Advisers should understand that Plan assets (ie the underlying securities) will be held on behalf of investors and investors will not have any direct legal interest in the securities or any direct rights against the issuing counterparty, in the event that the issuing counterparty defaults, ie becomes insolvent during the investment term of any Plan. Whilst FSCS rules may apply to the insolvency of Incapital Europe Limited, or the Account Manager/Administrator, FSCS rules do not normally apply if the Counterparty defaults upon their obligations, ie becomes insolvent. There is a distinction to be made with regard to FSCS rules and structured deposits however - as the default of a licensed deposit-taker, that meets the conditions of the FSA's compensation scheme rules, may qualify for FSCS protection.

As with all investments, it should be noted that past performance and any reference to it is not a guide to future performance and the value of structured investments, and any growth or income from them, may go down as well as up and is not guaranteed. It is possible to get back less than originally invested in structured investments.
